1. Acceptance of Terms

By accessing and using The Mini Exchange ("the Platform"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to these Terms of Service, please do not use the Platform.

2. Description of Service

The Mini Exchange is a specialized marketplace platform that connects Classic Mini Cooper (1959-2000) enthusiasts for the purpose of buying and selling Classic Minis. The Platform allows users to:

• Post classif ied listings for Classic Mini vehicles
• Browse and search available listings
• Communicate with other users
• Save favorite listings

3. User Accounts

3.1 Account Creation

To use certain features of the Platform, you must create an account using a valid email address. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3.2 Account Termination

We reserve the right to suspend or terminate your account at any time for violations of these Terms of Service, fraudulent activity, or other conduct we deem harmful to the Platform or other users.

4. User Conduct

4.1 Prohibited Activities

You agree not to:

• Post false, misleading, or deceptive listings
• Engage in fraudulent transactions
• Harass, abuse, or harm other users
• Violate any applicable laws or regulations
• Post content that infringes on intellectual property rights
• Attempt to gain unauthorized access to the Platform
• Use automated systems (bots, scrapers) without permission
• Spam or send unsolicited communications

4.2 Listing Guidelines

When posting a listing, you must:

• Provide accurate and truthful information
• Only list Classic Mini vehicles (1959-2000)
• Use your own photos or have permission to use them
• Disclose known issues and defects
• Comply with all applicable laws regarding vehicle sales

5. Platform Role and Liability

5.1 Marketplace Platform

The Mini Exchange is a marketplace platform only. We do not:

• Own, sell, or broker the vehicles listed
• Process payments between buyers and sellers
• Arrange transportation or shipping
• Verify the accuracy of listings
• Guarantee the quality or condition of vehicles

5.2 No Warranty

THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. We make no warranties about the accuracy, reliability, or availability of the Platform. You use the Platform at your own risk.

5.3 Limitation of Liability

To the fullest extent permitted by law, The Mini Exchange and its operators shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Platform, including but not limited to:

• Loss of profits or revenue
• Loss of data
• Fraudulent transactions
• Vehicle defects or misrepresentations
• Disputes between users

6. Transactions

6.1 Buyer Responsibility

As a buyer, you are responsible for:

• Conducting due diligence before purchasing
• Inspecting vehicles in person when possible
• Verifying ownership and title
• Arranging payment directly with sellers
• Arranging transportation

6.2 Seller Responsibility

As a seller, you are responsible for:

• Accurately representing your vehicle
• Providing clear title
• Complying with local regulations
• Honest communication with buyers
• Removing sold listings promptly

6.3 No Platform Fees for Transactions

We do not charge fees for basic listings or transactions conducted outside the Platform. Optional premium listing features may be available for purchase.

7. Content and Intellectual Property

7.1 User Content

By posting content on the Platform (listings, photos, messages, comments), you grant The Mini Exchange a worldwide, non-exclusive, royalty-free license to use, display, and distribute that content for the purpose of operating the Platform.

7.2 Platform Content

The Platform's design, features, and content (excluding user-generated content) are owned by The Mini Exchange and protected by copyright and other intellectual property laws.

8. Privacy

Your use of the Platform is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information.

9. Modifications to Terms

We reserve the right to modify these Terms of Service at any time. Changes will be effective immediately upon posting to the Platform. Your continued use of the Platform after changes are posted constitutes acceptance of the modified terms.

10. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law provisions.

11. Dispute Resolution

11.1 User Disputes

Disputes between users (buyer-seller disagreements, etc.) are the responsibility of the parties involved. We encourage users to resolve disputes amicably and may provide guidance, but we are not obligated to mediate or resolve user disputes.

11.2 Platform Disputes

Any disputes with The Mini Exchange should be reported to hello@theminiexchange.com. We will make reasonable efforts to resolve complaints in good faith.

12. Severability

If any provision of these Terms of Service is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
